Terms of Service

These Terms of Service ("Terms") govern your use of the EVEXOS exhibition management platform at evexos.com and associated subdomains, operated by EVEXOS ("we", "our", "us"). By creating an account or using EVEXOS, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Beta Programme

EVEXOS is currently in its beta programme. During beta:

• Features may change, be added, or removed without prior notice
• The platform is provided "as-is" without service level guarantees
• We may reset data or accounts if required for platform stability
• Your feedback helps shape the product and is greatly valued
• Beta pricing may differ from general availability pricing

2. Accounts

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised use of your account
• One person or legal entity may maintain no more than one free or trial account
• Account administrators are responsible for managing team member access and permissions within their tenant

3. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or to violate any applicable regulations
• Attempt to gain unauthorised access to other accounts, tenants, or systems
• Upload malicious code, viruses, or harmful content
• Reverse-engineer, decompile, or disassemble any part of the platform
• Use the AI features to generate harmful, misleading, defamatory, or illegal content
• Resell, redistribute, or sublicense the platform without written authorisation
• Circumvent rate limits, usage quotas, or credit restrictions
• Scrape, crawl, or extract data from the platform through automated means

4. Subscriptions and Billing

• Paid subscriptions are billed in advance on a monthly or annual basis via Stripe
• All fees are quoted in USD and are exclusive of applicable taxes
• Annual subscriptions receive a discount as published on our pricing page
• All fees are non-refundable except as required by law or stated in our refund policy
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• Trial accounts convert to paid subscriptions only upon explicit payment method submission
• Downgrading may cause loss of access to features or data beyond the lower plan's limits
• If payment fails, we will attempt to collect for up to 14 days before suspending the account

5. AI Credits

• AI features consume credits from your subscription's monthly allocation
• Credit costs vary by operation: chat messages (1 credit), content generation (2 credits), image generation (5-10 credits)
• Unused credits do not roll over to the next billing cycle
• Additional credit packs may be purchased separately
• Credits are non-transferable between tenants
• We reserve the right to adjust credit costs as AI provider pricing changes, with 14 days' notice

6. Your Data

• You retain full ownership of all content and data you upload to EVEXOS
• You grant us a limited, non-exclusive licence to host, store, process, and display your data solely to provide the service
• We maintain strict tenant data isolation — your data is never accessible to other tenants
• You are responsible for ensuring you have the right to upload content (including vendor data and exhibitor information)
• You are responsible for maintaining independent backups of data you cannot afford to lose
• Upon account termination, your data is retained for 30 days then permanently deleted (see our Privacy Policy)

7. AI Features and Disclaimers

• AI-generated content (booth designs, recommendations, email copy, analytics insights) is provided "as-is" and for informational purposes
• AI outputs may be inaccurate, incomplete, or biased — you must review all AI content before use in business decisions
• AI prompts and outputs are processed by third-party AI providers. See our Privacy Policy for details on specific sub-processors
• We do not guarantee the availability or accuracy of any specific AI model or capability
• You are responsible for the final use of AI-generated content in your business communications
• AI features may be updated, changed, or deprecated as underlying AI technology evolves

8. Intellectual Property

• The EVEXOS platform, including its design, code, branding, and documentation, is owned by us and protected by intellectual property laws
• AI-generated content created through your prompts and data is licensed to you for your business use
• You may not claim exclusive ownership of AI-generated outputs that could be independently generated for other users
• Your company branding, logos, and uploaded content remain your intellectual property

9. Service Availability

• We target high availability but do not guarantee uninterrupted, error-free service
• During the beta programme, no SLA is offered
• We may perform scheduled maintenance with advance notice when possible
• We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party provider failures, or force majeure events

10. Limitation of Liability

To the maximum extent permitted by applicable law, EVEXOS and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the platform
• Any AI-generated content or recommendations
• Unauthorised access to or alteration of your data
• Any third-party conduct on the platform

Our total aggregate liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EVEXOS from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the platform, or your infringement of any third-party rights.

12. Termination

• You may cancel your account at any time from your account settings
• We may suspend or terminate accounts that violate these Terms with notice where practicable
• We may terminate free or trial accounts for inactivity exceeding 90 days
• Upon termination, your data is retained for 30 days before permanent deletion, unless required by law
• Sections 8, 10, 11, and 14 survive termination

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to account administrators and through a notice on the platform at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree with the changes, you may cancel your account before the effective date.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation for 30 days. If negotiation fails, disputes shall be resolved by the courts of England and Wales.

15. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, pandemics, internet outages, or third-party infrastructure failures.
